The essay aims at pointing out the limits of the notion of transfer of undertaking, business or part of a business, for the purpose of article 2112 of the Italian Civil Code. Starting from the point of view of the commercial law about the meaning of terms "azienda", "impresa", "ramo d'azienda" used by the legislator to indicate the object of the transfer, the author gets to the labour law perspective through cases of national and European Courts and of Italian legal doctrine, concluding with a proposal for the interpretation of new article 2112 of the Civil Code.
