O artigo pretende analisar o empreendedorismo e a incubadora de empresas Universitec/UFPA diante do contrato de vesting. São duas as questões que norteiam o presente estudo: a primeira indaga se a Universitec/UFPA favorece o estudo de novos modelos de contratos societários na relação empresarial e a segunda pergunta qual a relação do contrato de vesting com o affectio societatis diante da ausência de regulamentação específica. O método adotado é o hipotético dedutivo com observação direta no estudo de caso. O artigo está estruturado em cinco itens: o primeiro se dedica à dinâmica entre a universidade e as incubadoras de empresas com enfoque na Universitec. Enquanto a segunda parte se refere ao contrato de sociedade, a terceira estuda os principais aspectos do contrato de vesting diante da ausência de norma regulamentadora. A quarta trata sobre o contrato de vesting e o affectio societatis. Percebemos que a Universitec/UFPA interage de forma positiva com as empresas, o que cria um ambiente favorável ao estudo de diversos modelos de contratos empresariais. O contrato de vesting coloca em xeque o affectio societatis, pois permite uma fluidez no capital social.
The article aims to analyze entrepreneurship and the incubator of companies Universitec/UFPA before the vesting contract. There are two questions that guide this study: the first asks whether Universitec/UFPA favors the study of new models of corporate contracts in the business relationship and the second question what is the relationship between the vesting contract and the affectio societatis in the absence of regulation specific. The adopted method is the hypothetical deductive with direct observation in the case study. The article is structured in five items: the first is dedicated to the dynamics between the university and business incubators with a focus on Universitec. While the second part refers to the contract of business society, the third studies the main aspects of the vesting contract in the absence of a regulatory standard. The fourth deals with the vesting contract and the affectio societatis. We realized that Universitec/UFPA interacts positively with companies, which creates a favorable environment for the study of different models of business contracts. The vesting contract put in xeque the affectio societatis, as it allows a fluidity in the share capital.
