Objectives: The present work aims to analyze the application of the theory of piercing of the corporate veil in bankruptcy, and what will be the effects on the partners and affiliated companies. It also aims to demonstrate how the cumulation of the two institutes will take place and how the corporate chain can be held responsible.
Theoretical Framework: The analysis of the proposed problem was based on the theory of piercing the corporate veil, as well as the theories of technical reality, on which article 45 of the Brazilian Civil Code was based. With regard to the constitutional basis, the principles of free enterprise and the mitigated finalist theory, adopted by the Consumer Protection Code, were collated.
Method: The research was carried out mainly through the methodology of data collection contained in bibliographic survey and jurisprudential decisions.
Results: Through the study of the aforementioned sources, it was found that it is possible to extend the bankruptcy effects through the piercing of the corporate veil, however, it is necessary that the requirements be unequivocally proven, under penalty of prolonging the bankruptcy unduly for several partners and nearby companies indiscriminately, causing the ruin of the entire corporate chain.
Discussion: The problem identified consisted of verifying permission to extend the bankruptcy effects to partners and affiliated companies, and what are the requirements for this, in view of the need to protect companies, avoiding successive bankruptcies.
Research Implications: The study developed results in the proper application of the theory of piercing the corporate veil in the bankruptcy process, appropriately guided by the principles of social function and preservation of the company, which will serve to support caution in the prolongation of bankruptcy.
Originality/Value: Considering the non-confrontation of the problem of this article by other authors so far, the work started from an innovative approach, which will guide the interpretation and application of the rules inserted in the bankruptcy legislation by the changes that came into force from 2022.
O presente trabalho analisou a aplicação da teoria da desconsideração da personalidade jurídica na falência, e quais serão os efeitos perante os sócios e sociedades coligadas. O presente estudo objetiva demonstrar como se dará a cumulação dos dois institutos e como a cadeia societária poderá ser responsabilizada. A problemática da pesquisa consiste na verificação de permissão para estender os efeitos falimentares para os sócios e sociedades coligadas, e quais os requisitos para tanto, tendo em vista, a necessidade de proteção das sociedades, evitando-se que ocorram sucessivas quebras. A pesquisa metodológica se deu principalmente através de doutrina e jurisprudência. Assim, através do estudo constatou-se que é possível estender os efeitos falimentares através da desconsideração da personalidade jurídica, todavia, faz-se necessário que os requisitos sejam inequivocamente comprovados, sob pena de prolongar a falência de modo indevido para diversos sócios e sociedades próximas de forma indiscriminada, causando a ruína de toda cadeia societária. Por fim, não há que se olvidar da aplicação dos princípios da função social e da preservação da empresa, que servirão para fundamentar a cautela no prolongamento da falência.
