El sistema de calificación en ESG se ha erigido como el principal medio de información acerca del compromiso de las empresas con el medio ambiente y con la sociedad. Sin embargo, está muy lejos de ser un sistema perfecto. La literatura jurídica y financiera viene señalando que existen enormes dificultades para configurar el sistema de calificaciones en ESG como un medio idóneo para informar de la efectividad de las políticas empresariales en materia de ESG. En este trabajo, se exponen las principales críticas a las que se enfrentan los ratings de ESG.
Se concluye afirmando que, si bien los ratings de ESG han podido tener un papel reseñable en las etapas incipientes de la discusión doctrinal y del desarrollo legislativo en materia de sostenibilidad, no parece que, hoy en día, proporcionen información valiosa para los inversores. Más bien, parece que éstos desempeñan exclusivamente la función de informar del cumplimiento por parte de las empresas de sus obligaciones información no financiera y penalizar en su reputación a aquellas que no informan debidamente.
The ESG rating system emerged as the main tool for the conveyance of information about companies commitment to both the environment and society. However, the system is far from perfect. The legal and fi nancial scholarship pointed out that there are enormous difficulties in establishing the ESG rating system as a suitable tool to report on the effectiveness of corporate ESG policies. This paper uncovers the main criticisms faced by ESG ratings. It argues that existing European regulation does not properly address the critics. Instead, it imposes a mandatory public ESG policy on large companies, which worsens the challenges that the ESG rating system is already facing. The paper concludes that, although ESG ratings may have played a notable role in the incipient stages of both doctrinal discussion and legislative development on sustainability, they do not seem to provide valuable information for investors. Instead, it seems that their only role is to inform about abidance to non-financial reporting obligations and to injure the reputation of companies that do not abide.
