El objetivo del presente artículo es describir el proceso de Due Diligence llevado a cabo en 1998 y que dio lugar a dos hechos corporativos muy importantes en Port Aventura S.A.
Por un lado el cambio del socio tecnológico, con la marcha de The Tussauds Group Ltd. que había sido el operador del Parque desde el inicio de operaciones del mismo, y la entrada de Universal Studios, operador de Parques (entre otros negocios de ocio), conocido mundialmente. Por otro lado, un cambio accionarial relevante consecuente con los cambios de socio tecnológico mencionados y la entrada mayoritaria en el accionariado de Caixa d’Estalvis i Pensions de Barcelona («La Caixa»).
The objective of this article is to describe the Due Diligence process carried out in 1998 and which gave rise to two very important corporate events in Port Aventura S.A. On the one hand, the change of the technological partner, with the departure of The Tussauds Group Ltd., which had been the operator of the Park since the start of its operations, and the entry of Universal Studios, operator of the Parks (among other leisure businesses), known worldwide. On the other hand, a relevant shareholder change coherent with the aforementioned changes in technological partner and the majority entry into the shareholding of Caixa d’Estalvis i Pensions de Barcelona («La Caixa»).
