Con motivo de la transposición de la Directiva (UE) 2019/1937 —comúnmente conocida como Directiva Whistleblowing—, el 20 de febrero de 2023 se ha aprobado la Ley 2/2023 reguladora de la protección de las personas que informen sobre infracciones normativas y de lucha contra la corrupción. Con ello, el presente artículo presenta un breve análisis de la mentada norma haciendo hincapié en la obligación impuesta a determinados sujetos a crear e implantar un sistema interno de información (canal de denuncias), así como un sistema de gestión y protección de los informantes evitando cualquier tipo de represalias frente a éstos. Igualmente, se destacarán, si bien brevemente, las luces y sombras detectadas en la aprobación de la citada Ley, resaltando concretamente aquellas cuestiones que en la práctica diaria tendrán especial transcendencia para las personas jurídicas y los modelos de prevención de delitos en ellas implantados.
With the transposition of Directive (EU) 2019/1937 —commonly known as the Whistleblowing Directive— to the Spanish Legal System, on February 20th 2023 the Law 2/2023 regulating the protection of persons who report regulatory and anti-corruption infringements was approved. For it, this article presents a brief analysis of the aforementioned Law emphasizing the obligation imposed on certain subjects to create and implement an internal information system (the whistleblowing channel), as well as a system of management and protection of whistleblowers, avoiding any type of retaliation against them. Likewise, some of the positive and negative aspects detected in the approval of the aforementioned Law will be briefly highlighted, specifically those practical issues that may appear in a day to day practice of the legal profession in relation to legal entities and the crime prevention models implemented by them within organizations.
