El pasado 23 de febrero recibió luz verde, tras varios intentos fallidos, la Propuesta de Directiva del Parlamento Europeo y del Consejo sobre gobierno corporativo sostenible y diligencia debida. De salir adelante esta iniciativa, obligará a las compañías incluidas en su ámbito de aplicación a adoptar medidas dirigidas a identificar, prevenir, mitigar y reparar posibles impactos negativos sobre los aspectos ambientales, sociales y de buen gobierno. De especial interés resultará ver en qué medida incide la futura norma en el régimen de deberes y responsabilidad de los administradores de las sociedades de capital. En este trabajo serán analizadas las líneas esenciales del texto presentado.
On 23 February, after several failed attempts, the Proposal for a Directive of the European Parliament and of the Council on Corporate Sustainability Due Diligence received the green light. If this initiative goes ahead, it will oblige companies included in its scope of application to adopt measures aimed at identifying, preventing, mitigating and repairing possible negative impacts on environmental, social and good governance aspects. It will be of particular interest to see to what extent the future regulation affects the regime of duties and responsibilities of directors of capital companies. In this paper, the main lines of the text proposed will be analysed.
