Nuestra doctrina ha empleado en ocasiones el término de “dividendos ficticios” o de “dividendos encubiertos/ocultos” para referirse a las atribuciones patrimoniales realizadas por la sociedad en favor de ciertos o de todos sus socios en mérito de negocios jurídicos -unilaterales y bilaterales- de muy diversa clase y denominación pero que son ejecutados fuera de los marcos societarios típicos para instrumentar jurídicamente los pagos o reembolsos a los socios. En el Derecho alemán, se habla de “atribuciones encubiertas” (“Verdecktezuwendungen”), o, en fin, de “concesión de ventajas ocultas” (“Verdeckte Vortelisgewährungen”; “Verdeckte Gewinnausschüttungen”). En Derecho británico de “Concealed distributions”. El objeto de este trabajo es examinar exclusivamente el problema del mantenimiento de la integridad del capital social, ”capital maintenance” o “Kapitalerhaltung” en relación con la acción de restitución de las distribuciones irregulares. Se propone realizar una “interpretación conforme a Derecho europeo” de lo que dice el artículo 278 LSC a la luz de lo que se establece en los actuales artículos 56 y 57 de la Directiva (UE) 2017/1132, de 14 de junio de 2017 y examinar los requisitos objetivos, subjetivo y procesales de esta acción autónoma de los remedios que sancionan el incumplimiento del deber de lealtad y las infracciones de la normativa de “operaciones entre partes vinculadas”.
Our doctrine has sometimes used the term "fictitious dividends" or "hidden dividends" to refer to the distributions made by the company in favor of certain or all of its shareholders through contracts or other legal acts -unilateral and bilateral- which are executed outside the typical corporate frameworks to legally make distributions to shareholders.
