El pasado 30 de enero se ha publicado en el Boletín Oficial de Estado (núm. 26) el Real Decreto 2/2021, de 12 de enero, por el que se aprueba el nuevo Reglamento de auditoría, que viene a desarrollar la Ley 22/2015, de 20 de julio, de Auditoría de Cuentas. Con ello y con algún matiz, se completa la normativa reguladora de la actividad de auditoría de cuentas, dotando dicho marco de mayor seguridad jurídica, en aras de afianzar la calidad de las auditorías para servir a la función de interés público que desempeña.
En este artículo se expondrán los distintos aspectos que se modifican, y que van desde el acceso al ejercicio de la actividad hasta su régimen de supervisión, pasando por los diferentes aspectos relacionados con el propio desempeño de la auditoría. No puede dejar de resaltarse que la mayor importancia de la nueva regulación se produce respecto al régimen del deber de independencia (en aspectos como los conflictos de intereses, causas de incompatibilidad, normas de limitaciones de honorarios, procedimientos para su identificación, todo en aras de preservar la independencia); a la organización interna y del trabajo (incluyendo los deberes de conservación y documentación); a las consideraciones específicas incorporadas por razón de tamaño; al informe de auditoría; y a las auditorías de estados consolidados, entre otros.
On January 12, 2021, the Council of Ministers approved Royal Decree 2/2021, which approves the new Regulation that developes the Law 22/2015, of July 20, on auditing, published in the Official Gazette of State num. 26). With this in general terms, the regulations governing the activity of auditing accounts are completed, providing said framework with greater legal certainty, in order to strengthen the quality of the audits to serve the function of public interest that it performs.
This article will expose the different aspects that are modified, ranging from access to the exercise of the activity to its supervision regime, passing through the different aspects related to the performance of the audit itself. It cannot be overlooked that the greater relevance of the new regulation deals with the regime of the duty of independence (in aspects such as conflicts of interest, incompatibility causes, fee, procedures to identify, evaluate and address threats to compliance with independence); internal organization and working papers (including conservation and documentation duties); specific considerations by reason considerations by size;
the audit report; and group audits, among others.
