La rescindibilidad de las modificaciones estructurales traslativas en el concurso de acreedores ha sido puesta en duda por jurisprudencia y doctrina. Recientemente, el Tribunal supremo se ha pronunciado por primera vez sobre la controversia jurídica en su Sentencia de 21 de noviembre de 2016, alineándose con la tesis mayoritaria al afirmar la resistencia de las modificaciones estructurales a la acción rescisitoria concursal. Al hilo de este trabajo, trataremos de exponer con rigor los argumentos que se han esgrimido en uno y otro sentido para finalmente esbozar un análisis crítico de los mecanismos de protección que nuestro Derecho societario pone a disposición de los acreedores afectados por estas operaciones y su suficiencia en un contexto concursal.
The possibility to apply clawback actions to mergers and spin-off corporate transactions within the bankruptcy proceedings has been put into question by the Academia and case law. In a recent judgement of november 21, 2016, the Spanish Supreme Court has ruled for the first time with regard to this controversy, endorsing the majority position as stating the resistance of mergers and spin-off to the insolvency clawback actions. in this paper we inted to explore the argument for both positions and develop a critical analysis on the sufficiency, in a bankrptcy scenario, of the instruments provided by Spanish Corporate Law to protect creditors affected by these type of transactions.
