Señalan los juristas que puede producirse en la propia estructura del negocio jurídico, o en su funcionalidad, una situación o circunstancia que arremete contra el acto jurídico en cuestión, privándole de producir los efectos o consecuencias diseñadas para él por los sujetos que lo realizan, resultando entonces la ineficacia de dicho negocio. Para tales casos, el artículo 67 del Código civil cubano establece las causales por las cuales se decreta la nulidad absoluta, añadiendo luego el artículo 68.1 que el acto jurídico nulo no puede ser convalidado y es impugnable en todo momento por parte interesada o por el fiscal, a tono con el proverbio latino quod ab initium vitiosum est, non potest tractu tempore convalescere. Pese a este punto de partida, el trabajo estudia la manera de validar estos contratos.
