El objetivo del presente estudio es analizar la Cesión Global de Activo y Pasivo en el marco de la Ley de Modificaciones Estructurales, con especial referencia a la tutela de socios minoritarios y acreedores de las sociedades participantes en esta operación. Para ello, además de la caracterización de la Cesión Global de Activo y Pasivo y de su régimen jurídico, son abordadas algunas cuestiones polémicas relacionadas con la sucesión universal del patrimonio social y con la responsabilidad solidaria entre los participantes en la operación. Se analizan supuestos en que esta operación podría encubrir otras operaciones de modificación estructural con exigencias más rigurosas, o servir como maniobra para excluir a los minoritarios de la sociedad cedente. Por último, se compara la regulación española actual con el marco legal comunitario.
The purpose of this paper is to analyze the Global Assignment of Assets and Liabilities under the Structural Modifications Act, with special reference to the protection of minority shareholders and creditors of the companies participating in this operation. To this end, in addition to the characterization of the Global Assignment of Assets and Liabilities and its legal system, this paper addresses some controversial issues related to the universal succession in the assets and joint and several liability among the participants in this assignment. This paper also examines some cases in which this operation could conceal other structural modification operations with more stringent requirements or serve as a maneuver to exclude minority shareholders of the assignor company. Finally, the study compares the current Spanish regulation with the EU legal framework.
