Con un considerable retraso, la Ley 44/2007, de 13 de diciembre establece el marco legal de la empresa de inserción. Una técnica societaria dirigida a permitir una eficiente agregación de esfuerzos diversos –públicos, privados, particulares, generales- en torno al común desarrollo de una actividad empresarial intensiva en el recurso al factor trabajo e ineludiblemente vinculada a un objetivo de interés general constitucionalmente (vid. art.9 CE) diseñado: la promoción de la inserción laboral de las personas en situación de exclusión social. La, a nuestro juicio, errada opción legal de abrir un unitario modelo de empresa a una pluralidad de formas jurídico societarias (vid. art.4 LEI) es la causa de un buen número de problemas. No siendo el menor acometer la necesaria delimitación del perímetro conceptual de la propia figura, objeto de estas páginas. La complejidad inherente a esta vieja forma societaria de un nuevo tipo de empresa de economía social, nos ha obligado a transitar desde una perseguida doble conceptualización, económica y jurídica, a una triple caracterización jurídica de la figura: funcional, tipológica y dogmática
After a considerable delay, Spanish Law 44/2007 of 13th December establishes a legal framework for social insertion enterprises (empresas de inserción). This business set-up is aimed at enabling the efficient combination of various efforts – public, private, individual, general – based on the communal development of an intensive business activity with recourse to employment, which is inextricably linked to a general-interest objective enshrined in Article 9 of the Spanish Constitution: to promote the insertion of socially excluded persons in the workplace. The, in our opinion, misguided legal option of opening a unitary company model to a plurality of legal company forms (cf. Art. 4 of the LEI) is the cause of a good number of problems, not the least of which is how to tackle the necessary definition of the conceptual boundaries of such an enterprise, which is explored in these pages. The complexity inherent in using this old business set-up for a new type of company in the social economy has obliged us to move from a sought-after double conceptualisation – economic and legal – to a three-way legal characterisation of the form in terms of function, typology and dogma.
