El trabajo analiza aspectos centrales de la responsabilidad penal de las personas jurídicas, recientemente incorporada al Derecho positivo español. Concretamente se centra en la tipicidad y en la culpabilidad de los delitos imputables a aquéllas. En cuanto a lo primero, se estima que requiere dos elementos: por una parte, un hecho de conexión; por otra, que éste tenga un sentido social o empresarial. En cuanto a lo segundo, se adopta la idea de culpabilidad por defecto de organización.
This work deals with corporate criminal liability, recently incorporated into Spanish Penal Code. In particular, the work focuses on the objective atributtion of an offence to a legal person and its culpability. For the first aim two elements are said to be needed. On the one hand, a connecting fact, an act of a physical person, an officer or a worker of the legal person. On the other, that such a fact must be done on behalf of the corporation. With respect to the latter, the paper supports the theory of corporation culpability as defect of organization, due to the absence of proper supervision over its officers and employees.
