En el presente comentario se resaltan los aspectos esenciales de la sentencia examinada, que giran en torno a la posible elusión de normativa societaria a través del plan de reestructuración, la procedencia de una sola clase de acreedores en un plan de reestructuración, la inexistencia de una situación que justifique la adopción del plan, o la falta de trato paritario entre acreedores dentro y fuera del perímetro de afectación. Partiendo de un supuesto relativamente sencillo, se dejan apuntadas cuestiones relativas a la libertad del proponente del plan en la formación de clases y la delimitación del perímetro de afectación, que puede permitir un plan de reestructuración con una sola clase, que incluso puede estar formada por un solo acreedor, quedando el resto fuera del perímetro de afectación, lo que pone de relieve no solamente la interpretación de la normativa preconcursal en relación a los fines que deben presidir todo plan de reestructuración, sino también la vigencia de la figura del fraude de ley para el adecuado examen de la formación de clases, que actúa como límite.
The following article highlights the essential aspects of the judgment under review, which revolves around the possible circumvention of corporate regulations through the restructuring plan, the appropriateness of a single class of creditors in a restructuring plan, the non-existence of a situation that justifies the adoption of said plan, and the lack of equal treatment between creditors inside and outside the perimeter of affectation. Based on a relatively simple assumption, matters regarding the freedom of the proponent of the plan in the class formation and the delimitation of the perimeter of affectation, that may allow a restructuring plan with a single class, which may even be formed by a single creditor, are pointed out. This highlights not only the interpretation of the pre-bankruptcy regulations relating to the purposes that must govern any restructuring plan, but also the validity of the figure of law fraud of the proper examination of the class formation, which acts as a limit.
