Nos centramos en este trabajo en el análisis de distintas cuestiones jurídicas planteadas por el usufructo sobre participaciones de una sociedad limitada de cartera. En primer lugar, realizamos una aproximación al sistema de fuentes aplicable, con especial referencia al significado del art. 127 LSC en las relaciones internas y externas entre nudo propietario y usufructuario. A continuación, analizamos el derecho del usufructuario a los dividendos, distinguiendo entre la legitimación formal para el ejercicio del derecho y la pertenencia de los dividendos. Para seguidamente centrarnos en el supuesto de inexistencia de reparto de beneficios y el consiguiente derecho a los beneficios obtenidos y no repartidos por parte del usufructuario; de forma más concreta, analizamos el supuesto de existencia de una previsión en el título constitutivo de compensación al usufructuario por beneficios no repartidos constante usufructo y su compatibilidad con la previsión legal de compensación ex art. 128 LSC. Para concluir con una referencia a distintas hipótesis que pueden tener incidencia sobre los derechos del usufructuario: la venta de participaciones objeto de usufructo y la extinción de la sociedad durante el mismo.
This paper aims to analyze different legal issues raised by the usufruct on shares of a holding private limited company. We first make an approach to the applicable source system, with special reference to the meaning of art. 127 of Spanish Company Law in internal and external relations between the owner and usufructuary. Next, we analyze the right of the usufructuary to the dividends, distinguishing between the formal legitimation for the exercise of the right and the ownership of the dividends. Then we focus on the case of non-distribution of benefits and the consequent right of the usufructuary to the obtained and not distributed benefits. More specifically, we analyze the possible establishment in the constitutive title of a compensation in favor of the usufructuary for benefits not distributed during the usufruct and its compatibility with the legal provision of compensation stated in article 128 of the Spanish Company Law. We conclude with a reference to different situations that may have an impact on the rights of the usufructuary: the sale of shares subject to usufruct and the extinction of the company during the usufruct.
