El blanqueo de capitales y la financiación del terrorismo requieren una respuesta conjunta a nivel internacional. Las directivas europeas en la materia involucran a todos los sectores, incluidas las sociedades cooperativas. Estas no están exentas de la obligación de identificar al titular real. Por esta razón, parece necesaria la homologación de sociedades cooperativas a compañías mercantiles también en materia de publicidad registral y prevención del blanqueo de capitales, incluyendo la constancia de la condición de socio en el Registro Mercantil, superando así su régimen actual basado en un libro de registro de miembros privados, a cargo del consejo de gobierno de la cooperativa. En este trabajo se estudia el papel del Registro Mercantil en la ejecución de esta nueva función, así como la conveniencia de modificar la ley de circulación de las participaciones sociales, recuperando su constancia registral, como ya sucedía en España antes de la reforma societaria de 1989 y como sucede en la actualidad en la mayor parte de los países de nuestro entorno europeo.
Money laundering and terrorist financing require a joint response at the international level. European directives on the matter involve all sectors, including cooperative societies. These are not exempt from the obligation to identify the true owner. For this reason, it seems necessary the homologation of cooperative societies to mercantile companies also in matters of registration publicity and prevention of money laundering, including the proof of the status of partner in the business register, thus overcoming its current regime base don a book of registration of private members, in charge of the governing council of the cooperative. This paper looks at business registers’ role in the execution of this new function and the advisability of ameding the law so that movements of corporate interest are once again a matter of public record, as used to be the case in Spain before the 1989 corporate reform and as currently is the case in most of the european countries around us.
