The paper analyses the implementation of intra-EU cross-border structural modifications within the pre-insolvency instruments regulated by the Spanish Insolvency Act. It examines their interaction with Royal Decree-Law 5/2023, insolvency law and the freedom of establishment. Although these transactions are possible within restructuring plans and within continuation plans, the current regime raises significant uncertainty. Key issues include the absence of specific treatment, the assimilation of domestic and cross-border transactions, legality control, and the requirement to be up to date with tax and Social Security obligations. The paper pays particular attention to the reinforced treatment of public-law claims and its potential deterrent effect on preventive restructuring and the freedom of establishment.
