ince the promulgation of Book V of the Moroccan Commercial Code on August 1, 1996, the national system for the prevention of corporate distress has been engaged in a complex dialectic between the legislative will to regulate and the irreversible reality of economic failure. Originally conceived as an instrument for the rationalization of entre-preneurial crises, the legal framework has progressively revealed its structural deficiencies — both in the early detection of signs of fragility and in the effective implementation of recovery mechanisms.Faced with this functional anomaly — attributable as much to the persistence of entrenched practices as to the timidity of legal instruments — the legislature undertook, through Law No. 73-17 of 19 April 2018, a conceptual re-foundation of the prevention regime. This reform marks an epistemological turning point: it replaces a curative logic with one of anticipation, elevating prevention to the rank of a public policy of economic vigilance. The introduction of a conciliation procedure, the establishment of the « new money »privilege, and the strengthen-ing of the special agent’s autonomy reflect the clear intent to institute a legal economy of trust, grounded in responsibility and discretion.Yet, this renewed preventive architecture remains traversed by an irreducible dialectical ten-sion — that which opposes the necessity of secrecy to the imperative of transparency. The spirit of the 2018 reform seeks, not without ambivalence, to preserve a space for silence and a moment for disclosure, embedding the system within a rhythmic alternation between these two antagonistic imperatives. Confidentiality constitutes the condition for an effective and candid dialogue between the business leader and the judge, whereas transparency embodies the principle of fairness owed to creditors and the market. Thus, the true challenge of contemporary prevention no longer lies in the mere articulation of procedural mechanisms, but in the pursuit of a normative equilibrium — a fragile and shifting balance between the protective shadow of secrecy and the regulatory light of trans-parency. It is within this dialectic — simultaneously legal, economic, social, and moral — that the future of Moroccan insolvency law must be envisioned: one striving to reconcile the salvific discretion of confidentiality with the collective confidence nurtured by transparency.
