El presente trabajo se centra en el análisis de las causas de extinción del poder de representación voluntario, figura jurídica mediante la cual una persona (poderdante) faculta a otra (apoderado) para actuar en su nombre. A partir del estudio del régimen previsto en el Código Civil en sede de contrato de mandato, se examinan las distintas causas de extinción, tales como la revocación del poder, la renuncia del apoderado, y circunstancias personales como la muerte o discapacidad de las partes. Asimismo, se aborda la problemática que generan estas disposiciones en la práctica actual, especialmente en contextos donde los principios de seguridad jurídica y protección de la voluntad del poderdante adquieren especial relevancia. Finalmente, se analiza la Propuesta de Modernización del Código Civil en materia obligaciones y contratos donde se recoge expresamente las causas de extinción del poder, valorando en qué medida las modificaciones propuestas buscan adaptar la normativa a las nuevas realidades sociales y fortalecer la coherencia y eficacia del sistema jurídico.
This paper focuses on the analysis of the causes for the termination of voluntary powers of attorney, a legal mechanism through which one person (the principal) authorizes another (the agent) to act on their behalf. Based on the legal framework established in the Civil Code, the study examines the various grounds for termination, such as revocation of the power, resignation of the agent, and personal circumstances such as the death or incapacity of either party. Furthermore, it addresses the challenges these provisions pose in current legal practice, particularly in contexts where the principles of legal certainty and the protection of the principal’s will are of special significance. Finally, the paper analyzes the Proposal for the Modernization of the Civil Code regarding obligations and contracts, which expressly includes the causes for termination of powers of attorney, assessing the extent to which the proposed amendments aim to adapt the legal framework to new social realities and to enhance the coherence and effectiveness of the legal system.
